Fees Policy

ProStores maintains this Fees Policy to provide customers and users ("You" or "Your") of its services, systems and network (the "Services") with detailed information relating to the pricing and payment of services made available via our site at www.ProStores.com (the "ProStores Website").

ProStores may amend this Fees Policy at any time by posting the amended policy on the ProStores Website. Changes to this Policy are effective after we provide you with at least fourteen days' notice as stated in the Merchant User Agreement. We may choose to temporarily change the fees for our services for promotional events or new services, and such changes are effective when we post the temporary promotional event or new service on the sites. Your continued use of ProStores Services will constitute Your acceptance of any changes or additions to this Fees Policy.

Pricing

The pricing applicable to Your store(s) varies by Store Level.

For each store You open using our Services, You will pay a Monthly Subscription Fee and a Successful Transaction Fee on all products. For an additional fee, You may choose specialty ProStores Services or services provided by third parties designed to help enhance Your store. The Third Party Services will be subject to the Third Party Terms and will be billed by the Third Party.

The total cost of Your Store (the "Total Fee") that may be billed by ProStores is the sum of

(1) the Monthly Subscription Fee,
(2) the Successful Transaction Fee, and
(3) any specialty ProStores Services You choose

The Monthly Subscription Fee and Successful Transaction Fee are automatically charged to Your credit card or to Your PayPal account on file with ProStores as described in the section "Authorization to Withdraw Payment" below. For information on fees for specialty ProStores Services, please see the section "ProStores Services" below. ProStores will provide You with a fee statement via email on the day your credit card or Your PayPal account is charged in order to advise You of the amounts charged. Refusal to pay or rejection of any such fees is ground for immediate account suspension and/or Termination.

Monthly Subscription Fee is billed monthly, in advance and commencing on the day you sign up, and charged to Your credit card.
Successful Transaction Fee is billed in arrears for the month immediately preceding the invoice date for the total of all transactions using Your store in the immediately preceding month and is calculated by multiplying the percentage applicable to Your Store Level by the total Gross Transaction Volume (GTV). For example, if your invoice date is September 15, you will be billed Successful Transaction Fees on GTV from August 15-September 14. GTV is the total of all goods and services sold through Your Store in the immediately preceding month and is based on the final, gross sale price. Successful Transaction Fees are capped at $2000/month.
Free Trial Subscription. Following Your One Month Free Trial Subscription (if applicable), You will be billed for the Monthly Subscription Fee applicable to Your next thirty (30) days of service and any Successful Transaction Fees applicable to transactions on Your store in the previous calendar month.

Promotional Offers

One Month Free Trial Subscription. The One Month Free Trial Subscription offer is open to new merchants opening a ProStores account for the first time and applies to the Store Levels described above for the first month. Under the One Month Free Subscription offer, the Monthly Subscription Fee will be waived for the first month for qualified new merchants. Successful Transaction Fee of 0.5% still applies during the free trial subscription period.

If you choose to use ProStores' domain name registration assistance, ProStores will pay for one personalized domain name registration for one year for merchants who subscribe at the Professional eCommerce Basic and Professional eCommerce Plus Store Levels. This offer expires 30 days from the date You open Your ProStores Customer Account. Merchants can claim this offer through their ProStores Store Administration after signing up for a ProStores Account. Domain registration will be automatically renewed at the rate of $8.95 per year, unless terminated in accordance with the Domain Name Terms and Conditions. The Domain Services are subject to the Domain Name Terms and Conditions.

Private Domain Name Registration Discount. For the Professional eCommerce Basic and Professional eCommerce Plus Store Levels, ProStores will deduct $8.95 from the standard price of the Private Domain Name Registration annual registration fee for the first year. Merchants can claim this offer through their ProStores Store Administration after signing up for a ProStores Account. This offer expires 30 days from the date You open Your ProStores Customer Account. Private Domain Name Registration will be automatically renewed at the rate of $18.95 per year.

eBay PowerSeller Discount. Following the one Month Free Trial Subscription period, qualifying eBay PowerSellers will receive a discount of 30% off the ProStores Monthly Subscription Fee. To qualify for this discount, you must be a current eBay PowerSeller on the day you receive your monthly ProStores account statement. Successful Transaction Fee of 0.5% still applies.

eBay PowerSeller Monthly Subscription Fee Waiver. Includes waiver of Monthly Subscription Fee only for qualifying Gold, Platinum, and Titanium PowerSellers. Successful Transaction Fee of 0.5% still applies. To qualify for this offer, you must be a current eBay Gold, Platinum, or Titanium PowerSeller on the day you receive your monthly ProStores account statement.

eBay Stores Seller Discount. All qualified eBay Stores sellers who signed up for ProStores prior to 9:00a.m. Pacific Daylight Time, May 26, 2009, and who continue to subscribe to eBay Stores and ProStores will continue to receive a 30% discount off of the ProStores monthly subscription fee. Successful Transaction Fee of 0.5% still applies.

With the exception of the One-year Free Personalized Domain Name Registration and Private Domain Name Registration Discount offers, the above offers are applied automatically for qualifying merchants.

The above offers are nontransferable, may not be combined with other offers and discounts, and may not be exchanged or redeemed for cash. This means that you can combine the above discounts only if you are eligible for such discounts and this means as well that you can not combine the above discounts with any discounts other than those set out above. ProStores reserves the right to terminate these promotional offers at any time.

ProStores Services (optional)

Pay-Per-Sale Marketing
Minimum Commission Rate of 8% When you participate in Pay-Per-Sale Marketing, you can set a commission rate you are willing to pay on successful sales that result from traffic we actively drive to your store. The minimum commission rate is 8% of the sales price of items purchased.* You can set higher rates in increments of 1% to increase the likelihood of receiving more exposure, traffic, and potential sales. The higher rate will be applied on successful sales that result from traffic we drive following the change in percentage commission. The percentage will be applied to sales resulting within a 15 day window from traffic we drive to your store. You accept that the records generated by the ProStores Pay-Per-Sale tracking system shall be the final basis for calculating Pay-Per-Sale commission fees.

Pay-Per-Sale Marketing commission is billed on a calendar month basis, in arrears, for the total of all successful sales that result from traffic we actively drive to Your store in the previous calendar month and is calculated by multiplying the Pay-Per-Sale Marketing commission rate you have specified in Your ProStores Store Administration at the time of the sale by the price of items purchased.*

* Excluding costs for shipping, handling, taxes, miscellaneous service charges (e.g. gift wrapping, engraving or other personalized services that are delivered with the sale of your goods).
Upon selection of a specialty ProStores Service, unless otherwise expressly noted at the time of purchase, a corresponding charge will be immediately withdrawn. For ProStores Services with monthly fees due, You will be billed monthly, in advance, commencing at the time You sign up for the ProStores Service.

PayPal and other Payment Services

In addition to the above Total Fees, please be advised that additional fees may be applicable to the payment methods You select for use in making and/or receiving payments (i.e. PayPal, credit card, or bank) from Your customers. Such fees are assessed by Your bank and/or payment transmitter pursuant to Your separate commercial relationship.

Authorization to Withdraw Payment

In providing credit card billing information, You authorize ProStores to process all fees incurred in connection with Your store. Further, You expressly authorize ProStores to charge Your credit card for monthly and other recurring portions of Your Total Fees (i.e. Monthly Subscription Fees, Successful Transaction Fees, Marketing Services, etc). You agree that ProStores will not obtain additional authorization from You for these recurring pre-approved payments.

You agree to maintain current valid existing credit card information with ProStores for the purpose of satisfying the fees due to ProStores as they become due.

Taxes and Your Store

As a merchant on ProStores, You agree to comply with all applicable domestic and international laws, statutes, ordinances and regulations regarding Your use of the Service and the sale of Your products and/or services.

You are also responsible for paying all taxes, duties, or other fees applicable to the sale or offer of Your products and/or services.

A note about ProStores fees

In the event Your Store is suspended for any reason, any amounts due on Your account will immediately become due and payable. ProStores reserves the right to charge any amounts You have not previously disputed to the billing method that You are using.

Fees pay for the right to sell on Your ProStores web store. You do not purchase exclusive rights to web pages on ProStores and its email services. ProStores may, in its sole discretion, and without Your consent or payment to You, place third-party advertisements on any Web page or email communication within its Service offering.
